OUR TERMS & AGREEMENTS
Throughout VisProsper's Online and Offline Content, the terms “Terms & Agreements” and “Terms & Conditions” are interchangeable and synonymous, one and the same.
Once a user enter www.VisProsper.com or complete any VisProsper LLC Transaction, which includes VisProsper Service Transaction; in turn initiating a VisProsper LLC membership agreement they accept and agree with VisProsper Terms and Conditions | Privacy Policy.
We, VisProsper retain ALL rights to deactivate any VisProsper membership at anytime without discrepancy. By entering www.VisProsper.com or transacting any monies with VisProsper or sign any VisProsper form the customer agrees to terms and conditions of the (VisProsper member) account and VisProsper's service procedure and process. If any VisProsper member account is suspicious of unlawful, illegitimate an/or fraudulent practices and/or improper misuses of transferred lead information through any VisProsper service (including service webpages) or affiliate webpage service (i.e. Domain Name Service), we obtain all right report to authorities membership accounts and improper misuses of accounts.
We greatly value and respect all of our VisProsper member's information. We also greatly value, respect and use confidential and secure precautional measurements in processing VisProsper member's prospective clientele information. We are a company desiring to build trust not only with each VisProsper member but each user we help service. Therefore, we do not solicit any members private membership information to any non-VisProsper Inc. affiliated 3rd parties (unless required under federal or state law and in right by jurisdiction government request and/or demand).
All VisProsper services purchases are one-time transactions, unless a continuing maintenance service and/or generating service is/are purchased. Once a VisProsper services' Service Period is active (meaning "in progress") or services are rendered complete, the purchased services are NON-REFUNDABLE until further notice. Due to the member paying for any VisProsper services upfront, we hold no outstanding balances to our memberships unless a cancellation fee is applied. VisProsper members (and non members) understand that VisProsper has all right to hold membership services until requested services are paid in full. If a continuing service cost is agreed upon during the Service Consultation Call, we may retain customers (VisProsper Members and Non-members) credit card information up to 90 days or more due to rendering and retaining of purchased services. If member's card or bank account is deactivated, leaving the VisProsper member's membership with an outstanding balance, and payment was promised to be paid prior to a service's Service Period initiating, VisProsper retains the right to deactivate membership and issue a cancellation penalty fee in the case of the VisProsper wrong standing member deciding to continue any further services due to a breach of contract of purchase. All continuing monthly plans will be due on the first of every month. If payment does not go through, we are responsible; but not obligated, to contact member via email, SMS text, direct phone call and, if able, allow a courtesy three-day (36 hour) duration to re-process payment. If no previous pre-payment arrangements have been agreed upon between VisProsper LLC and the customer to pay a continuing monthly payment service cost, VisProsper will delete purchasers credit card information once requested service transactions are complete; VisProsper member must re-establish payment method in order for VisProsper to reprocess. VisProsper members will have the option to request their credit card or bank information remain available but inactive within VisProsper's 3rd Party system (©Stripe Account) after a one-time transaction has been completed. For, primary setup services (i.e., Lead Generating Service, Landing Page Service, Basic Webpage Website Services) ONLY, If VisProsper member does not (re)establish a method of payment to pay for agreed to services there will be a $599 penalty fee associated with the abrupt abandonment or deactivated method of payment of membership account. There will be no penalty fee for members who process a “good standing” inactivation or service is secondary such as Maintenance/Automation Service. The penalty fee is only associated with members who fail to provide an active payment method on file, process a cancellation within 3 days prior to a Service Period or demand an immediate deactivation of membership; curtailing purchased services. To reactivate membership account from a penalize account, the VisProsper member must bring their account balance to $0, must be paid in full.
For the safety of the prospective clientele, VisProsper database does not examine leads during the generating process. We also do not guarantee the satisfaction, effectiveness or longevity of each lead (prospective clientele)
VisProsper LLC sole responsibility is to generate and deliver to VisProsper member's lead information of potential prospect clientele. (See Below, Prospective Clientele Leads) What the VisProsper Member does with any lead information, from prospective client, generated and delivered is the sole discretion of VisProsper Member (i.e, Attorney or Attorney’s firms affiliates) & VisProsper Members' Lead Clientele (and Attorney’s Lead Clientele affiliates).
VisProsper LLC. has the right to change any VisProsper LLC's service component, promotion, discount, incentive or any offer in regard to any of its service or service prices at anytime. If any VisProsper LLC service has been change or discontinued during any VisProsper's members active service, their active service will not change or alter unless the active service has been cancelled or deactivated. If any VisProsper member service has been cancelled or deactivated, any subsequent start of any VisProsper service will be transacted under the most recent service obligations and pricing.
BI-WEEKLY (PROGRESS) REPORTS

All Bi-Weekly Progress repots must be disputed within 7-14 business days prior to their VisProsper Team Executor sending the report via email. The VisProsper Member must email or text their dispute(s) to their Team Executor to resolve any issues or anomalies. If the member's VisProsper Team Executor is uncooperative or unavailable, we recommend the member fill out a RECORD inquiry form HERE.
Disputes may take 3-21 business days to resolve. Therefore, VisProsper thanks you for your patience in advance.
MAINTENANCE/AUTOMATION SERVICE
Maintenance and (Webpage CRM- Customer Relation Management) Automation are two separate sub-services but merged into one service. Maintenance and Automation Services are considered Secondary Service to Primary Service (i.e., Landing Page Service, 2-5 Basic Webpage Website Service...etc.) Both services should be expected, but not obligated, to be completed simultaneously one with the other by either a VisProsper LLC. Team Executor or a VisProsper Service Specialist. To know what Maintenance/Automation Service entails please request a VisProsper Service & Price Manual (CLICK BELOW- IN RED)
Maintenance/Automation Service to any webpage is available but Maintenance/Automation Service is separate from your Setup Service's Service Period. Maintenance/Automation Service, when purchased, will start immediately and service extends to duration of purchased months established and paid for by the VisProsper client. During maintenance/automation months, memberships are inactive and ALL membership specifications are unavailable.
If a member purchased webpage Maintenance/Automation (proof of purchase confirmation number) and either a Team Executor or Service Specialist has not performed webpage Maintenance/Automation for a member's webpage, member must contact a VisProsper representative via VisProsper Chat Widget (located within the corner of either our HOME, MORE INFO, CONTACT US, ABOUT US webpages).
We, VisProsper, try our best to never allow disputes to occur. However, if there are any Maintenance/Automation related disputes, member must inform VisProsper immediately of maintenance and/or CRM automation issue. Member's dispute case is null and void if filed 1 year prior actual incident. Due to VisProsper's external 3rd Party Software programs and application management systems (i.e. HighLevel..etc.), disputes may take 3-21 business days to resolve. VisProsper thanks you for your patience in advance.
There is no cancellation penalty fee for Maintenance/Automation services. If cancel your Maintenance/Automation services, it will cancel and deactivate next payment (billing cycle) at the end of the (purchased) Maintenance/Automation service month. Please note, cancelling maintenance/automation may effect primary service plans tier and its commitments; pro-ration of services will be applied (please view below- Cancellation/Refund).

©Google Screened Badge Advertisements are ©Google service advertisements that usually appear at the top of a specified service ©Google search engine webpage. ©Google Screened Advertisements are not free, the ©Google ad cost varies and depends upon multiple factors (factors i.e., ad spend, ad copy, each lead generated via ad, SEO, ad words, ©Google services…etc.). In order for VisProsper LLC associate(s) to service and setup ©Google Screened Badge Ads VisProsper member must purchase a Lead Generating Service. A ©Google Screened Badge Ad will not be setup and serviced without VisProsper’s Lead Generating Service initiated.
For VisProsper’s Lead Generating Service there is a per lead charge. For per lead pricing please view VisProsper’s Service & Price Manual. VisProsper lead cost covers these charges: 3rd party platform (i.e., ©Google, ©facebook, ©Twitter, ©Instagram, ©YouTube…and any latest trending advertising platforms) advertising cost, 3rd party software Customer Relation Management (C.R.M.) software and application programming cost (i.e., Highlevel, ©Twilio…and any needed CRM system platforms) cost, Search Engine Optimization Platform cost and ©VisProsper’s associate and operational cost.
Due to each VisProsper lead being generated and immediately delivered to the VisProsper member corresponding phone number, email or phone (through SMS messaging), VisProsper LLC is unable to guarantee the time-frame or the predicted time of generating and delivering leads. Any VisProsper Service Period may extend beyond the time-frame intended to fulfill and complete service; this pertains to the 90-days subsequent to any Service Period, extension. VisProsper also is unable to immediately reassure quality, determination and validation of each generated lead no matter if the term "guarantee" is mentioned throughout Member's Service Consultation call. However, VisProsper does guarantee that the leads purchased will be generated and delivered based upon the response of VisProsper’s advertising users and their determined interest for VisProsper’ members specified services.
Each VisProsper lead generated for a VisProsper active member is checked by the member’s Team Executor before processed into their VisProsper membership Bi-Weekly Report. However, in a highly unlikely situation, if a VisProsper lead has been generated and delivered by accident (i.e., call by an unknown user and the unknown call ended within 15 seconds due to accidental dial) or a received call to the VisProsper member was intentionally disconnected immediately by an unknown caller (i.e., call was made by an unknown user, the unknown user hung up and unknown user never called back for services-does not refer to or include telemarketer/spam calls), VisProsper member is able to receive credit or, if qualify, full fund reimbursement for the call. VISPROSPER USER AGREEMENT
I, the user, agree by entering this site, www.visprosper.com, or completing any monetary transactions with VisProsper LLC. and its affiliate 3rd party programs to obtain VisProsper Service(s) or sign any VisProsper form I agree with VisProsper LLC. Terms & Agreements and VisProsper LLC. Privacy Policy. I agree to not discredit VisProser LLC. in any way, shape or fashion. If I were to purchase a VisProsper's Lead Generating Service, which is in compliance with accredited associations (See ASSOCIATION COMPLIANCE below), I am fully aware that I a purchasing a pay-per-lead service, I am fully aware that a VisProsper LLC. Team Executor will generate and deliver my pre-purchased attorney lead information directly to my membership SMS text number, phone number or email contact information on file; I know that it is my sole responsibility as a user to contact VisProsper LLC to request a alteration to update my current contact information. I am also fully aware that VisProsper LLC is not responsible for any lead information or handlings of lead's (prospective clienteles) legal matter or legal case. I am also aware that VisProsper LLC processes all incoming information through a known liable and trustworthy 3rd Party database system (©HighLevel). For safety, confidential and assurance purposes, I am fully aware that Consultation and direct Lead Generating Service and webpage setup service leads from VisProsper are monitored for VisProsper quality purpose and assurance and VisProsper does have a right and responsibility to turn over any incriminating call recording to the proper authorities at anytime. I also am fully aware that if I were to become a VisProsper member and purchase services on a the day of, my paid services is expected to be process, setup, generate and delivered during my (VisProsper Member's) expected service's Service Period. I am fully aware that in life expectations might not get met; therefore I have a right to request a refund and/or cancellation of services if the expected VisProsper's service Service Period is not met. I am fully aware if I cancel the existing services that were not met during the expected service Service Period VisProsper will no longer be liable to generate, setup or deliver my services.
I, the user, fully understand VisProsper LLC. may its change (Geo-fence) zip-code regional area and expand its membership territory to multiple attorneys (including Personal Injury Attorneys) within any zip code regional area at anytime. Also, I, the user, fully understand VisProsper LLC has the right to increase Attorney (member) count to more than 2 Attorneys per zip code specified and agreed within any starter call or Service Consultation Call. I, the user, relinquish my right to take to court VisProsper LLC or any of its affiliates based upon any change in number (decrease or increase) of VisProsper LLC members within a zip code regional area.
I, the user, agree to all VisProsper third party polices (“Third Party Policies”), terms, agreements and actions Visprosper LLC uses, complies or affiliates with and I, the user, fully understand that VisProsper will not be held accountable for any VisProsper Members third-party profiles, membership and interactions. Third Party Policies means all social media companies (i.e., ©facebook, ©Twitter, ©TikTok, ©Snapchat, ©Instagram, ©LinkedIn and any other social media companies), software and management programming companies (i.e, ©HighLevel, © Zoom, ©Mailgun, ©Twilio and any other software and management programming companies).
I, the user, fully understand that VisProsper LLC lead (i.e., name, phone number, email, addresses, direct calls…etc.) generating service and and any VisProsper LLC setup webpage/website service to obtain any leads from VisProsper I must pay per lead or pay per plan according to service I, the user of VisProsper LLC services, agreed upon during the respective VisProsper Purchase agreement shown throughout my VisProsper Purchase Confirmation email. I understand that any leads (or prospective clients) generated and delivered to my company or myself at the phone number(s) and email(s) that I provided will be my company's and its sole responsibility to nurture once generated and delivered. I understand that VisProsper may setup, but is not obligated to setup and can cancel at anytime, a custom lead intake and tracking system and provide basic training on how to use the intake system to maximize lead conversion. I understand VisProsper LLC. intake system (CRM system) may include an automated follow-up process which includes calling, emailing and texting VisProsper's generated leads for feedback to maximize VisProsper's lead generating service experience and to gain specified conversion statistics to maximize VisProsper Membership service . All calls are recorded and monitored through VisProsper LLC system for tracking and billing purposes. I, the client, agree to pay the service amount disclosed within the respective VisProsper Service and Price Manual and I agree to pay upfront for the services I requested and agreed upon throughout my Service Consultation call. I understand all VisProsper's Services Service Period is an expected time-frame and if my primary or secondary services are not completed 90-days subsequent to my expected service period ending, I may choose to request a refund in the sum amount respective to my services that were completed and my services that were incomplete. In other term, the sum of my VisProsper pro-rated service charge back to my account or credit card, unless otherwise stated within my Purchase Confirmation e-mail or Terms & Agreement or unless VisProsper is no longer liable to generate, deliver or execute remaining Lead Generating Service and/or Setup Webpage or Website Service due to membership negligence and deactivation default status.
PROSPECTIVE CLIENTELE LEADS
What qualifies as a lead:
-Lead is personal information submitted by user in order to be retrieve by a particular service (i.e., SMS text phone number, email address, mailing address, company information, survey information, form information, set appointment time and date).
-Lead must inquire about client services.
-Lead information is generated by VisProsper and forwarded to membership intake number and email.
(LEGAL LEAD GENERATING SERVICE, see below)
In an unlikely circumstance, if VisProsper member receives duplication of a lead (or leads) we recommend the VisProsper member to contact their VisProsper Team Executor who generated the lead(s) immediately. If you are unable to reach your Team Executor, please visit contact us > Plans & Service > (click on) Gray Question Mark button to submit your case. The VisProsper Team Executor will further review and process the duplicate lead claim.
The email (or text) claim should state:
1. VisProsper member's name & membership ID
2. Indicate the total number of duplicate lead(s) that were delivered
3. Indicate the services' Service Period the duplicate lead(s) were delivered
4. Provide the lead's name and lead's number
The Team Executor will access and, if a valid, process the request by sending to the VisProsper member the amount of leads that were duplicated within the following Service Period at no charge. The Lead Generating Service is NON-REFUNDABLE once in process or service is completed.
A VisProsper member must contact VisProsper LLC within the next month (no more than 30 days subsequent to receiving the duplicate lead) to request (a) new lead(s) to be generated and delivered.

We at VisProsper deliver quality and determined leads by not misrepresenting ad information, we believe in bridging needed prospects to truthful, quality and determined companies. By retaining any VisProsper LLC service, member fully agrees to be truthful and provide non-misrepresented information to VisProsper LLC.
No lead Advertising are targeted to any minors.
If a VisProsper Member provides any misrepresented company information (i.e., discounts, incentives, promotional offers, services) to VisProsper to use throughout any marketing advertisements and, by the misrepresented company information, if any prospective clientele’ contact the VisProsper member under those misrepresented false pretenses leading to the prospective clientele declining or denying business due to advertised misrepresentation VisProsper has sole right to charge for the lead and/or deactivate the company's membership account and/or take further legal action within its jurisdiction in a court of law.
To receive full-reimbursement and/or credit for an accidental generated lead(s):
You must have received a call by accident; receiving a call that disconnected intentionally (i.e., an unknown call was made, the unknown call WAS PICKED UP & RECEIVED by the VisProsper member’s business and the call ended within 15 seconds due to accidental dial by unknown caller) or received call that was intentionally disconnected immediately by an unknown caller (i.e., call was made by an unknown caller, unknown caller hung up and unknown caller never called back for services-does not refer to or include telemarketer/spam calls).*
* Unknown caller are callers non-affiliated with or have no relation to the VisProsper member’s business or their affiliates they are directing their call towards.
SMS messaging. VisProsper member is able to receive credit reimbursement when an accidental lead message is received (via a survey, form, email or SMS message); message must be from an unknown user and include falsified misrepresented information that is unable to be processed, unable to be used as a contact, unable to qualify as determined and illegitimate lead information is given for a VisProsper member to service. *
* Accidental lead messages are messages sent from users who are non-affiliated with or have no relation to the VisProsper member’s business or their affiliates or associates they are directing their messages towards.
If accidental generated lead(s) was delivered prior to its relative Service Bi-Weekly Report, please give time for a Team Executor to catch the accidental lead(s) and deliver to you another lead within the Service Period time frame, to negate the accidental deliverance.
To complete your Bi-Weekly Report(s), your Team Executor checks each lead delivered and your response time. Your response time must be either be immediate or, concerning messaging, within 24 hours. Team Executors immediately disregard any telemarketer/spam calls to count as legitimate lead(s). Therefore, VisProsper Lead Generating Service will not include telemarketer/spam calls.
Must report accidental generated and delivered lead no later than 30 days following its Service Period’s Bi-Weekly Report to receive, if qualify, lead refund reimbursement or, if qualify, lead credit for lead. NO TEAM EXECUTOR WILL EXTEND THE 30 DAY FULL-REFUND REIMBURSEMENT PERIOD. If an accidental generated and delivered lead is not reported within the 30 day period subsequent to the bi-weekly report delivered, member must report accidental lead no later than 90 days following 30 day period. If member reports within the 90 days member, if qualify, may recieve lead credit ONLY. However, depending upon the Team Executor, these 90 days may extend to 120 days. If not reported within 120 days a VisProsper Team Executor is unable to disperse credit and lead accidental dispute is voided.
If qualify for full-fund reimbursement, your full fund reimbursement will be funded to you in the amount of your initial purchase. For example, if you purchased a Lead Generating Service of 15 leads per month for 6 months and in 2 out of those 6 month 2 accidental leads were missed by your T.E. after the corresponding bi-weekly report was sent and you would like a refund for those 2 leads. If those leads cost you $299 each, you will receive $598 + any additional tax back from those accidental leads generated.
Credit can be redeemed immediately or within 1 year from generation and delivery of lead information to VisProsper member. Credit cannot be redeemed for cash or exchanged to apply to another VisProsper service. Service credit is ONLY toward the service it was distributed for (i.e., 1 Lead Generating Service Lead credit is to generate and deliver 1 VisProsper lead)

VisProsper LLC. will not be held liable for uncooperative and non-responsive prospective clientele or their lead information VisProsper Team Executors generates and delivers to the VisProsper member. It is the sole responsibility of the prospective clientele (lead) to show affinity or liking towards the VisProsper member (and their affiliates) and it is the sole responsibility of the VisProsper Member to show affinity or liking towards the prospective clientele (lead). VisProsper will not be held liable if ANY prospective clientele (lead) does not cooperate (or show affinity or liking ) with VisProsper member's company.
VisProsper Member's clientele rate of delivered leads solely depends on the percentage of clientele the VisProsper member's company maintains and satisfies. VisProsper recommend having a high rate of leads generated per month to increase the probability of the high rate of converting clientele. VisProsper DOES NOT GUARANTEE A HIGHER CONVERTING RATE for VisProsper members, it is the sole responsibility of the VisProsper member and its affiliating business to nurture generated delivered leads (perspective clientele) accordingly. It is the perspective clienteles (generated and delivered prospect's) right to refuse VisProsper members' services; if a VisProsper delivered lead (perspective clientele) chooses, by any means, to disaffiliate, disassociate, disregard and/or dispute with VisProsper member's services, VisPropser has no affiliation and is solely between VisProsper's member's business and the prospective clientele. Also VisProsper LLC is not responsible for VisProsper members clientele attainability. Once a lead or webpage setup is generated by VisProsper (and/or affiliates of VisProsper) it is the sole responsibility of the prospective clientele and the sole responsibility of the VisProsper member to communicate, gain rapport with one another and transact services or information.

It is VisProsper’s sole discretion to limit, suspend and or terminate members participation in any of its programs, live recordings, social media-based or digital input without refund or forgiveness of remaining payments if:
Member becomes disruptive difficult to work with; or member fails to follow VisProsper guidelines or member impairs the participation of any of VisProsper LLC services or programs.
VisProsper LLC. Cash Credit Promotion
Once they purchase VisProsper service(s), we will send to you an update “VisProsper Update | You Referred a VisProsper Member! ” email. Please note, all VisProsper representatives are unable to disclose any VisProsper membership information and this includes purchase service information. Therefore, hang tight and please be patient. If your referral's purchase is successful, it may take approx. 60 days (approx. 2 months) if the referral’s purchase service is a Setup Service or approx. 120 days (approx. 4 months) if the referral’s purchase service was a Lead Generating Service. Once completely successful we will send to you a “VisProsper Congratulates You…Redeem Your Cash!” email. Once recieve email, you must respond within 7 days. We will need some information to DEPOSIT
OR SEND TO YOU…YOUR CASH via direct deposit or by check via mail. (Read Promotional Information below).
If a referral was unsuccessful (i.e., link was not used by referral or referral did not state the person who referred during Service Consultation Call), there will be no VP contact and no email sent to you. YOU WILL NOT BE ABLE TO CHECK THE STATUS OF A REFERRAL BY CALLING VISPROSPER. You must be patient and, if qualified, wait
until necessary emails are sent. NO QUESTIONS WILL BE ANSWERED by any VisProsper representative or associate regarding our VisProsper Referral Cash Credit promotional offer (i.e., checking the status of a referral) if you call
VisProsper’s Office. Any update will be given via "VisProsper Update | You Referred a VisProsper Member!" email.
PROMOTIONAL INFORMATION

In compliance with the ©Internal Revenue Service (©IRS), VisProsper is required by law to issue relative tax forms to individual who referred. Individual's who refer will be affiliated to VisProsper as a 3rd party Independent Contractor. The VisProsper affiliate also known as the Referrer also known as the Independent Contractor is required to pay Federal and State tax if an individual is paid out through any 3rd party affiliate, (i.e., VisProsper), the 3rd party affiliate will send (by email) the appropriate updated Referral information to the affiliate/referrer in compliance with federal and state tax law. In compliance with the © American Bar Association, VisProsper LLC. is not a Law Office and has no affiliation with the practice of Law or any Legal services; explicating legal advice in any shape, form or matter. Therefore by entering into the VisProsper LLC Cash Credit Promotion and receiving any sort of funds (i.e., cash, notes or fundings either directly deposited in to bank account or send by mail or wire financial transfer) affiliates, who qualify, FULLY AGREE as Independent Contractors to be responsible and receive the appropriate federal and state tax forms from the 3rd party affiliate (VisProsper LLC.).
For a Lead Generating Service Referral (if a Lead Generating Service of 25 leads or more is purchased during the first two consultation calls) the individual who referred the new VisProsper member is able to receive $400 cash credit per referral. For Setup Service Referral (if Setup Service** is purchased during the first two consultation calls), the individual who referred the new VisProsper member is able to receive $150 cash credit per referral. ALL PERSONS OR PARTY ENTITIES of VisProsper Service Transaction, which includes but not limited to VisProsper LLC. and VisProsper Members agree that each party complies with the New York state law and does not discriminate or hold any prejudicial biases against the other persons or party entities who are apart of the service transaction. If a person or party entities of VisProsper Service Transaction (VisProsper Members) chooses to disagree with another party prior to or subsequent to a VisProsper Service Transaction, VisProsper LLC has the right to either deactivate and report to the proper authorities the VisProsper Member's account.
Any persons (leads) that are generated from VisProsper LLC software database and transferred (via email, text, IM, telephone line) to VisProsper LLC. Serviced members are subject to and agree that each prospective clientele (or each lead information) that is generated and received by VisProsper member will be respected according to Section 296 Chapter 18, Article 15 of New York State law and will not be discriminated or held by any prejudicial bias based upon lead information delivered. If any person or entity of any VisProsper LLC. transaction chooses to discontinue or cancel VisProsper Inc. services within (or adhering to) fair laws, they have right to do so with no exclusion of New York law Human Rights Law.
OUR TERMS & AGREEMENTS
Throughout VisProsper's Online and Offline Content, the terms “Terms & Agreements” and “Terms & Conditions” are interchangeable and synonymous, one and the same.
Once a user enter www.VisProsper.com or complete any VisProsper LLC Transaction, which includes VisProsper Service Transaction; in turn initiating a VisProsper LLC membership agreement they accept and agree with VisProsper Terms and Conditions | Privacy Policy.
We, VisProsper retain ALL rights to deactivate any VisProsper membership at anytime without discrepancy. By entering www.VisProsper.com or transacting any monies with VisProsper or sign any VisProsper form the customer agrees to terms and conditions of the (VisProsper member) account and VisProsper's service procedure and process. If any VisProsper member account is suspicious of unlawful, illegitimate an/or fraudulent practices and/or improper misuses of transferred lead information through any VisProsper service (including service webpages) or affiliate webpage service (i.e. Domain Name Service), we obtain all right report to authorities membership accounts and improper misuses of accounts.
We greatly value and respect all of our VisProsper member's information. We also greatly value, respect and use confidential and secure precautional measurements in processing VisProsper member's prospective clientele information. We are a company desiring to build trust not only with each VisProsper member but each user we help service. Therefore, we do not solicit any members private membership information to any non-VisProsper Inc. affiliated 3rd parties (unless required under federal or state law and in right by jurisdiction government request and/or demand).
All VisProsper services purchases are one-time transactions, unless a continuing maintenance service and/or generating service is/are purchased.
Once a VisProsper services' Service Period is active (meaning "in progress") or services are rendered complete, the purchased services are NON-REFUNDABLE until further notice. Due to the member paying for any VisProsper services upfront, we hold no outstanding balances to our memberships unless a cancellation fee is applied.
VisProsper members (and non members) understand that VisProsper has all right to hold membership services until requested services are paid in full. I
f a continuing service cost is agreed upon during the Service Consultation Call, we may retain customers (VisProsper Members and Non-members) credit card information up to 90 days or more due to rendering and retaining of purchased services. If member's card or bank account is deactivated, leaving the VisProsper member's membership with an outstanding balance, and payment was promised to be paid prior to a service's Service Period initiating, VisProsper retains the right to deactivate membership and issue a cancellation penalty fee in the case of the VisProsper wrong standing member deciding to continue any further services due to a breach of contract of purchase. All continuing monthly plans will be due on the first of every month. If payment does not go through, we are responsible; but not obligated, to contact member via email, SMS text, direct phone call and, if able, allow a courtesy three-day (36 hour) duration to re-process payment. If no previous pre-payment arrangements have been agreed upon between VisProsper LLC and the customer to pay a continuing monthly payment service cost, VisProsper will delete purchasers credit card information once requested service transactions are complete; VisProsper member must re-establish payment method in order for VisProsper to reprocess. VisProsper members will have the option to request their credit card or bank information remain available but inactive within VisProsper's 3rd Party system (©Stripe Account) after a one-time transaction has been completed. For, primary setup services (i.e., Lead Generating Service, Landing Page Service, Basic Webpage Website Services) ONLY, If VisProsper member does not (re)establish a method of payment to pay for agreed to services there will be a $599 penalty fee associated with the abrupt abandonment or deactivated method of payment of membership account. There will be no penalty fee for members who process a “good standing” inactivation or service is secondary such as Maintenance/Automation Service. The penalty fee is only associated with members who fail to provide an active payment method on file, process a cancellation within 3 days prior to a Service Period or demand an immediate deactivation of membership; curtailing purchased services. To reactivate membership account from a penalize account, the VisProsper member must bring their account balance to $0, must be paid in full.
For the safety of the prospective clientele, VisProsper database does not examine leads during the generating process. We also do not guarantee the satisfaction, effectiveness or longevity of each lead (prospective clientele)
VisProsper LLC sole responsibility is to generate and deliver to VisProsper member's lead information of potential prospect clientele. (See Below, Prospective Clientele Leads) What the VisProsper Member does with any lead information, from prospective client, generated and delivered is the sole discretion of VisProsper Member (i.e, Attorney or Attorney’s firms affiliates) & VisProsper Members' Lead Clientele (and Attorney’s Lead Clientele affiliates).
VisProsper LLC. has the right to change any VisProsper LLC's service component, promotion, discount, incentive or any offer in regard to any of its service or service prices at anytime. If any VisProsper LLC service has been change or discontinued during any VisProsper's members active service, their active service will not change or alter unless the active service has been cancelled or deactivated. If any VisProsper member service has been cancelled or deactivated, any subsequent start of any VisProsper service will be transacted under the most recent service obligations and pricing.
BI-WEEKLY (PROGRESS) REPORTS

All Bi-Weekly Progress repots must be disputed within 7-14 business days prior to their VisProsper Team Executor sending the report via email. The VisProsper Member must email or text their dispute(s) to their Team Executor to resolve any issues or anomalies. If the member's VisProsper Team Executor is uncooperative or unavailable, we recommend the member fill out a RECORD inquiry form HERE.

MAINTENANCE/AUTOMATION SERVICE
Maintenance and (Webpage CRM- Customer Relation Management) Automation are two separate sub-services but merged into one service. Maintenance and Automation Services are considered Secondary Service to Primary Service (i.e., Landing Page Service, 2-5 Basic Webpage Website Service...etc.) Both services should be expected, but not obligated, to be completed simultaneously one with the other by either a VisProsper LLC. Team Executor or a VisProsper Service Specialist. To know what Maintenance/Automation Service entails please request a VisProsper Service & Price Manual (CLICK BELOW- IN RED)
Maintenance/Automation Service to any webpage is available but Maintenance/Automation Service is separate from your Setup Service's Service Period. Maintenance/Automation Service, when purchased, will start immediately and service extends to duration of purchased months established and paid for by the VisProsper client. During maintenance/automation months, memberships are inactive and ALL membership specifications are unavailable.
If a member purchased webpage Maintenance/Automation (proof of purchase confirmation number) and either a Team Executor or Service Specialist has not performed webpage Maintenance/Automation for a member's webpage, member must contact a VisProsper representative via VisProsper Chat Widget (located within the corner of either our HOME, MORE INFO, CONTACT US, ABOUT US webpages).
We, VisProsper, try our best to never allow disputes to occur. However, if there are any Maintenance/Automation related disputes, member must inform VisProsper immediately of maintenance and/or CRM automation issue. Member's dispute case is null and void if filed 1 year prior actual incident. Due to VisProsper's external 3rd Party Software programs and application management systems (i.e. HighLevel..etc.), disputes may take 3-21 business days to resolve. VisProsper thanks you for your patience in advance.
There is no cancellation penalty fee for Maintenance/Automation services. If cancel your Maintenance/Automation services, it will cancel and deactivate next payment (billing cycle) at the end of the (purchased) Maintenance/Automation service month. Please note, cancelling maintenance/automation may effect primary service plans tier and its commitments; pro-ration of services will be applied (please view below- Cancellation/Refund).

For VisProsper’s Lead Generating Service there is a per lead charge. For per lead pricing please view VisProsper’s Service & Price Manual. VisProsper lead cost covers these charges: 3rd party platform (i.e., ©Google, ©facebook, ©Twitter, ©Instagram, ©YouTube…and any latest trending advertising platforms) advertising cost, 3rd party software Customer Relation Management (C.R.M.) software and application programming cost (i.e., Highlevel, ©Twilio…and any needed CRM system platforms) cost, Search Engine Optimization Platform cost and ©VisProsper’s associate and operational cost.
Due to each VisProsper lead being generated and immediately delivered to the VisProsper member corresponding phone number, email or phone (through SMS messaging), VisProsper LLC is unable to guarantee the time-frame or the predicted time of generating and delivering leads. Any VisProsper Service Period may extend beyond the time-frame intended to fulfill and complete service; this pertains to the 90-days subsequent to any Service Period, extension. VisProsper also is unable to immediately reassure quality, determination and validation of each generated lead no matter if the term "guarantee" is mentioned throughout Member's Service Consultation call. However, VisProsper does guarantee that the leads purchased will be generated and delivered based upon the response of VisProsper’s advertising users and their determined interest for VisProsper’ members specified services.
Each VisProsper lead generated for a VisProsper active member is checked by the member’s Team Executor before processed into their VisProsper membership Bi-Weekly Report. However, in a highly unlikely situation, if a VisProsper lead has been generated and delivered by accident (i.e., call by an unknown user and the unknown call ended within 15 seconds due to accidental dial) or a received call to the VisProsper member was intentionally disconnected immediately by an unknown caller (i.e., call was made by an unknown user, the unknown user hung up and unknown user never called back for services-does not refer to or include telemarketer/spam calls), VisProsper member is able to receive credit or, if qualify, full fund reimbursement for the call. If I were to purchase a VisProsper's Lead Generating Service, which is in compliance with accredited associations (See ASSOCIATION COMPLIANCE below), I am fully aware that I a purchasing a pay-per-lead service, I am fully aware that a VisProsper LLC. Team Executor will generate and deliver my pre-purchased attorney lead information directly to my membership SMS text number, phone number or email contact information on file; I know that it is my sole responsibility as a user to contact VisProsper LLC to request a alteration to update my current contact information. I am also fully aware that VisProsper LLC is not responsible for any lead information or handlings of lead's (prospective clienteles) legal matter or legal case. I am also aware that VisProsper LLC processes all incoming information through a known liable and trustworthy 3rd Party database system (©HighLevel). For safety, confidential and assurance purposes, I am fully aware that Consultation and direct Lead Generating Service and webpage setup service leads from VisProsper are monitored for VisProsper quality purpose and assurance and VisProsper does have a right and responsibility to turn over any incriminating call recording to the proper authorities at anytime. Also, I, the user, fully understand VisProsper LLC has the right to increase Attorney (member) count to more than 2 Attorneys per zip code specified and agreed within any starter call or Service Consultation Call. I, the user, relinquish my right to take to court VisProsper LLC or any of its affiliates based upon any change in number (decrease or increase) of VisProsper LLC members within a zip code regional area.
I, the user, agree to all VisProsper third party polices (“Third Party Policies”), terms, agreements and actions Visprosper LLC uses, complies or affiliates with and I, the user, fully understand that VisProsper will not be held accountable for any VisProsper Members third-party profiles, membership and interactions. Third Party Policies means all social media companies (i.e., ©facebook, ©Twitter, ©TikTok, ©Snapchat, ©Instagram, ©LinkedIn and any other social media companies), software and management programming companies (i.e, ©HighLevel, © Zoom, ©Mailgun, ©Twilio and any other software and management programming companies).
I, the user, fully understand that VisProsper LLC lead (i.e., name, phone number, email, addresses, direct calls…etc.) generating service and and any VisProsper LLC setup webpage/website service to obtain any leads from VisProsper I must pay per lead or pay per plan according to service I, the user of VisProsper LLC services, agreed upon during the respective VisProsper Purchase agreement shown throughout my VisProsper Purchase Confirmation email. I understand that any leads (or prospective clients) generated and delivered to my company or myself at the phone number(s) and email(s) that I provided will be my company's and its sole responsibility to nurture once generated and delivered. I understand that VisProsper may setup, but is not obligated to setup and can cancel at anytime, a custom lead intake and tracking system and provide basic training on how to use the intake system to maximize lead conversion. I understand VisProsper LLC. intake system (CRM system) may include an automated follow-up process which includes calling, emailing and texting VisProsper's generated leads for feedback to maximize VisProsper's lead generating service experience and to gain specified conversion statistics to maximize VisProsper Membership service . All calls are recorded and monitored through VisProsper LLC system for tracking and billing purposes. I, the client, agree to pay the service amount disclosed within the respective VisProsper Service and Price Manual and I agree to pay upfront for the services I requested and agreed upon throughout my Service Consultation call. I understand all VisProsper's Services Service Period is an expected time-frame and if my primary or secondary services are not completed 90-days subsequent to my expected service period ending, I may choose to request a refund in the sum amount respective to my services that were completed and my services that were incomplete. In other term, the sum of my VisProsper pro-rated service charge back to my account or credit card, unless otherwise stated within my Purchase Confirmation e-mail or Terms & Agreement or unless VisProsper is no longer liable to generate, deliver or execute remaining Lead Generating Service and/or Setup Webpage or Website Service due to membership negligence and deactivation default status.
PROSPECTIVE CLIENTELE LEADS
What qualifies as a lead:
-Lead is personal information submitted by user in order to be retrieve by a particular service (i.e., SMS text phone number, email address, mailing address, company information, survey information, form information, set appointment time and date).
-Lead must inquire about client services.
-Lead information is generated by VisProsper and forwarded to membership intake number and email.
(LEGAL LEAD GENERATING SERVICE, see below)
In an unlikely circumstance, if VisProsper member receives a duplication of a lead (or leads) we recommend the VisProsper member to contact their VisProsper Team Executor who generated the lead(s) immediately. If you are unable to reach your Team Executor, please visit contact us > Plans & Service > (click on) Gray Question Mark button to submit your case. The VisProsper Team Executor will further review and process the duplicate lead claim.
The email (or text) claim should state:
1. VisProsper member's name & membership ID
2. Indicate the total number of duplicate lead(s) that were delivered
3. Indicate the services' Service Period the duplicate lead(s) were delivered
4. Provide the lead's name and lead's number
The Team Executor will access and, if a valid, process the request by sending to the VisProsper member the amount of leads that were duplicated within the following Service Period at no charge. The Lead Generating Service is NON-REFUNDABLE once in process or service is completed.
A VisProsper member must contact VisProsper LLC within the next month (no more than 30 days subsequent to receiving the duplicate lead) to request (a) new lead(s) to be generated and delivered.

We at VisProsper deliver quality and determined leads by not misrepresenting ad information, we believe in bridging needed prospects to truthful, quality and determined companies. By retaining any VisProsper LLC service, member fully agrees to be truthful and provide non-misrepresented information to VisProsper LLC. No lead Advertising are targeted to any minors.
If a VisProsper Member provides any misrepresented company information (i.e., discounts, incentives, promotional offers, services) to VisProsper to use throughout any marketing advertisements and, by the misrepresented company information, if any prospective clientele’ contact the VisProsper member under those misrepresented false pretenses leading to the prospective clientele declining or denying business due to advertised misrepresentation VisProsper has sole right to charge for the lead and/or deactivate the company's membership account and/or take further legal action within its jurisdiction in a court of law.
To receive full-reimbursement and/or credit for an accidental generated lead(s):
You must have received a call by accident; receiving a call that disconnected intentionally (i.e., an unknown call was made, the unknown call WAS PICKED UP & RECEIVED by the VisProsper member’s business and the call ended within 15 seconds due to accidental dial by unknown caller) or received call that was intentionally disconnected immediately by an unknown caller (i.e., call was made by an unknown caller, unknown caller hung up and unknown caller never called back for services-does not refer to or include telemarketer/spam calls).*
* Unknown caller are callers non-affiliated with or have no relation to the VisProsper member’s business or their affiliates they are directing their call towards.
SMS messaging. VisProsper member is able to receive credit reimbursement when an accidental lead message is received (via a survey, form, email or SMS message); message must be from an unknown user and include falsified misrepresented information that is unable to be processed, unable to be used as a contact, unable to qualify as determined and illegitimate lead information is given for a VisProsper member to service. *
* Accidental lead messages are messages sent from users who are non-affiliated with or have no relation to the VisProsper member’s business or their affiliates or associates they are directing their messages towards.
If accidental generated lead(s) was delivered prior to its relative Service Bi-Weekly Report, please give time for a Team Executor to catch the accidental lead(s) and deliver to you another lead within the Service Period time frame, to negate the accidental deliverance.
To complete your Bi-Weekly Report(s), your Team Executor checks each lead delivered and your response time. Your response time must be either be immediate or, concerning messaging, within 24 hours. Team Executors immediately disregard any telemarketer/spam calls to count as legitimate lead(s). Therefore, VisProsper Lead Generating Service will not include telemarketer/spam calls.
Must report accidental generated and delivered lead no later than 30 days following its Service Period’s Bi-Weekly Report to receive, if qualify, lead refund reimbursement or, if qualify, lead credit for lead. NO TEAM EXECUTOR WILL EXTEND THE 30 DAY FULL-REFUND REIMBURSEMENT PERIOD. If an accidental generated and delivered lead is not reported within the 30 day period subsequent to the bi-weekly report delivered, member must report accidental lead no later than 90 days following 30 day period. If member reports within the 90 days member, if qualify, may recieve lead credit ONLY. However, depending upon the Team Executor, these 90 days may extend to 120 days. If not reported within 120 days a VisProsper Team Executor is unable to disperse credit and lead accidental dispute is voided.
If qualify for full-fund reimbursement, your full fund reimbursement will be funded to you in the amount of your initial purchase. For example, if you purchased a Lead Generating Service of 15 leads per month for 6 months and in 2 out of those 6 month 2 accidental leads were missed by your T.E. after the corresponding bi-weekly report was sent and you would like a refund for those 2 leads. If those leads cost you $299 each, you will receive $598 + any additional tax back from those accidental leads generated.
Credit can be redeemed immediately or within 1 year from generation and delivery of lead information to VisProsper member. Credit cannot be redeemed for cash or exchanged to apply to another VisProsper service. Service credit is ONLY toward the service it was distributed for (i.e., 1 Lead Generating Service Lead credit is to generate and deliver 1 VisProsper lead)

VisProsper LLC. will not be held liable for uncooperative and non-responsive prospective clientele or their lead information VisProsper Team Executors generates and delivers to the VisProsper member. It is the sole responsibility of the prospective clientele (lead) to show affinity or liking towards the VisProsper member (and their affiliates) and it is the sole responsibility of the VisProsper Member to show affinity or liking towards the prospective clientele (lead). VisProsper will not be held liable if ANY prospective clientele (lead) does not cooperate (or show affinity or liking ) with VisProsper member's company.
VisProsper Member's clientele rate solely depends on the percentage of clientele the VisProsper member's company maintains and satisfies. Any persons (leads) that are generated from VisProsper LLC software database and transferred (via email, text, IM, telephone line) to VisProsper LLC. Serviced members are subject to and agree that each prospective clientele (or each lead information) that is generated and received by VisProsper member will be respected according to Section 296 Chapter 18, Article 15 of New York State law and will not be discriminated or held by any prejudicial bias based upon lead information delivered. If any person or entity of any VisProsper LLC. transaction chooses to discontinue or cancel VisProsper Inc. services within (or adhering to) fair laws, they have right to do so with no exclusion of New York law Human Rights Law.

As mentioned, if breached and/or stolen from VisProsper’s 3rd Party database(s), it is agreed, by usage of www.visprosper.com and VisProsper LLC services, upon illegitimate for VisProsper member to hold VisProsper liable and/or responsible for any breached, stolen or lost property of member. VisProsper LLC. will not be held responsible for any private information (i.e. credit card, personal names, address, email phone numbers..or any of the such). Any information provided by the user to VisProsper is not obligated but given for transactional purposes under responsible user usage. In compliance with VisProsper members privacy, we may, if service is agreed upon by both parties, accept month to month (or quarterly month) payment transactions (via credit card, personal check, business checks, money order). For member's privacy and assurance, members must provide confirmation of distribution of funds from their bank during (or, if necessary, prior to) the members services' service period).
An Individual service consist of a month to month transaction (i.e. 1m, 2m, 4m, 5m..etc) and VisProsper Plans consist of 3 consecutive months (or QUARTERLY) (i.e. 3m, 6m, 9m, 12m...etc) transactions. When a member agrees to pay a monthly payment or plan payment or any form of VisProsper LLC payment; by becoming a VisProsper Member the VisProsper member fully agree and comply and give full permission to VisProsper LLC's 3rd party ©Stripe account to withdraw the cost of payment from their (VisProsper member) payment method (i.e., credit card, wire transfer or etc.) from the banking account member provided within the day or next business day or pre arranged date of transfer or transaction of funds. Member fully understands VisProsper's 3rd party ©STRIPE account may transact pre-arranged payments during VisProsper's operational business week days or during days VisProsper is non operational or close throughout the day. If a payment was transacted by accident or transacted prior to pre-arranged date, the member's VisProsper Team Executor is expected to process the return or refund within the next business day; process of refund or return transaction may take up to 2 to 14 days or more depending upon 3rd party banking applications (i.e., ©STRIPE) and VisProsper's member banking cooperation. By reading these agreements VisProsper members are fully aware they are NOT obligated to save their payment method information with VisProsper ©Stripe account after their service transaction has been fully completed; it is the responsibility of the VisProsper Member to contact VisProsper and request the deletion of any relative membership payment method. Due to members, who have paid for VisProsper services during a Service Consultation Call, having the option to cancel their service before their service period has started, they, again, must also request a deletion of their payment method information from VisProper’s 3rd Party ©Stripe System. If a member has not requested to delete their payment method information, or until all VisProsper LLC’s ©Stripe transaction(s) has been completed and all services are final, VisProsper member’s payment method information (i.e., credit card information) will remain inactive yet stored in VisProsper 3rd party ©Stripe system until the VisProsper member has either notified a VisProsper representative of an up-to-date payment method or contact their VisProsper Team Executor (or a VisProsper Representative) and request their payment method on VisPropser’s 3rd Party ©Stripe system be deleted.
Any automatic payment processing is created ONLY by joint agreement between the VisProsper member and VisProsper LLC during any VisProsper Service Consultation Call. All VisProsper services were built for the VisProsper member to trust in our company in delivering to them quality and satisfactory Lead Technological services. However, it is under the sole discretion of our VisProsper members to attain, by any means, wisdom in transacting their private information from one party (i.e., VisProsper LLC) to another. We will make a great effort to secure all of our member and VisProsper affiliates information, however, like every internet-based company in the world, we cannot guarantee 100% security.
VisProsper Membership and Employment Rules and Regulations
Penalties and severe consequences (i.e., membership deactivation, employment warning-record marks, employment termination)

-For VisProsper affiliates, financially scheming that result in changing or handling of any services and prices (money), outside VisProsper LLC company, of any sort without proper VisProsper authority and approval.

Member fully understands VisProsper's 3rd party ©STRIPE account may transact pre-arranged payments during VisProsper's operational business week days or during days VisProsper is non operational or close throughout the day. If a payment was transacted by accident or transacted prior to pre-arranged date, the member's VisProsper Team Executor is expected to process the return or refund within the next business day; process of refund or return transaction may take up to 2 to 14 days or more depending upon 3rd party banking applications (i.e., ©STRIPE) and VisProsper's member banking cooperation. By reading these agreements VisProsper members are fully aware they are NOT obligated to save their payment method information with VisProsper ©Stripe account after their service transaction has been fully completed; it is the responsibility of the VisProsper Member to contact VisProsper and request the deletion of any relative membership payment method. Due to members, who have paid for VisProsper services during a Service Consultation Call, having the option to cancel their service before their service period has started, they, again, must also request a deletion of their payment method information from VisProper’s 3rd Party ©Stripe System. If a member has not requested to delete their payment method information, or until all VisProsper LLC’s ©Stripe transaction(s) has been completed and all services are final, VisProsper member’s payment method information (i.e., credit card information) will remain inactive yet stored in VisProsper 3rd party ©Stripe system until the VisProsper member has either notified a VisProsper representative of an up-to-date payment method or contact their VisProsper Team Executor (or a VisProsper Representative) and request their payment method on VisPropser’s 3rd Party ©Stripe system be deleted.
Any automatic payment processing is created ONLY by joint agreement between the VisProsper member and VisProsper LLC during any VisProsper Service Consultation Call. All VisProsper services were built for the VisProsper member to trust in our company in delivering to them quality and satisfactory Lead Technological services. However, it is under the sole discretion of our VisProsper members to attain, by any means, wisdom in transacting their private information from one party (i.e., VisProsper LLC) to another. We will make a great effort to secure all of our member and VisProsper affiliates information, however, like every internet-based company in the world, we cannot guarantee 100% security.
VisProsper Membership and Employment Rules and Regulations
Penalties and severe consequences (i.e., membership deactivation, employment warning-record marks, employment termination)
For employees, unless you obtain a position of a Board of Director or justified by the Board of Directors (i.e., Chief Executive Officer, Chief Financial Officer, Chief Operational Officer), all employees are subject to 3 warning- record marks, then a refutable termination.

-Verbal Abuse:Cursing, swearing or posing any harmful or physical threat towards any type of persons affiliated
with VisProsper LLC.
-Stereotyping against any persons or company based on age, gender, nationality, color, creed, religion, sex.
-Physical abuse: Inducing any physical harm to any type of persons affiliated with VisProsper LLC. (i.e., VP affiliate, member, user)
-For VisProsper affiliates, financially scheming that result in changing or handling of any services and prices (money), outside VisProsper LLC company, of any sort without proper VisProsper authority and approval.
As mentioned, we truly respect your privacy and must insist that you as well respect the privacy of VisProsper LLC and VisProsper’s prospective generated leads.
Thus, you agree once entering VisProsper.com or once any purchase transaction has been made with VisProsper:
-Not to infringe any VisProsper copyright, patent, trademark, trade secrets, or other intellectual property rights
-That any Confidential Information shared by VisProsper LLC. or any of the representatives of the VisProsper LLC. is and remain confidential and proprietary, and belongs solely and exclusively to the VisProsper LLC who discloses it.
-Not to disclose such information to any other person or use it in any manner other than in discussion with other VisProsper member or VisProsper Prospective members.

-The reproduction, distribution and sale of services, forms, surveys and any of the such (PDF or online version copies) is strictly prohibited
-that if you violate or display any likelihood of violation any of your agreements contained in these recent paragraphs VisProsper LLC and representatives of VisProsper LLC will be entitled to injunctive relief to prohibit any such violations to protect against the harm of such violations.
You are free to discuss your personal services from VisProsper, however you must keep the experiences and statements, oral or written, of all other participants (i.e., prospective clientele) in the strictest of confidence. You further agree that your participation is subject to our Privacy Policy and Terms of Use. If you wish to apply (or not apply) services contained in this material, you are taking full responsibility for your actions.
This Privacy Policy Agreement constitutes the complete and exclusive agreement between us. It supersedes all prior written and oral statements, conditions, obligations, representations or warranties.

We, VisProsper LLC., greatly emphasized that ALL active and deactivated VisProsper Members (or users) agree to notify a VisProsper customer service representative (or a Team Executor or a VisProsper Supervisor) of any form of inadequate service(s), discredit and/or failure of service(s) from their assigned Team Executor before pursuing any legal action against VisProsper or any of its affiliates. VisProsper member (user) agrees that no legal action against VisProsper LLC will initiate if a legitimate reasoning is established (such as nature catastrophe, shortage of VisPropser staff due to pandemic causes, personal health..etc.); resulting to the VisProser member's service not rendered during the expected service's Service Period time frame, which is based on date of transaction and conveyed by member's assigned Team Executor prior to transaction. In compliance with this agreement, VisProsper LLC members must allow VisProsper LLC affiliates (such as VisProsper Team Executors) a grace period of 90 days subsequent to member's expected service's Service Period end-date to rectify and/or complete any service discrepancies, service fulfillments and/or service errors. The user (or member) agrees by entering into any VisProsper transactional agreement, this member grace period is legally binding. VisProsper will provide an option subsequent to the 90 day grace period that follows the member's Service Period end-date.
Unless stated otherwise throughout Purchase Confirmation, if VisProsper’s expected services are not rendered and completed within 90 days subsequent to its expected service period time-frame, VisProsper LLC is held accountable to refund member pro-rated service expenses (expenses minus advertisement spend, labor cost & any generated services that were rendered complete or delivered (i.e., generated lead delivered). Pro-rated refund is not subject to a cancellation fee from member. However, a Purchase Cancellation Refund Form is necessary and mandatory for submission in order for a member to request and be issued their pro-rated refund.
VisProsper user is fully aware that phone service charges may apply from their phone service when receiving and delivering SMS text messages and direct phone calls to and from VisProsper LLC., this includes SMS text messaging and direct calling to and from any prospective clientele (lead) VisProsper has generated for user and/or from VisProsper LLC. representative (i.e. VisProsper Team Executors, VisProsper Customer Specialist/Support...etc.). VisProsper user also agrees to not dispute but to releases VisProsper LLC. from all user's personal service phone charge obligations relating to VisProsper LLC services; all user's phone service charge is the sole responsibility of VisProsper User.
Following is the membership Team Executor Gift Form agreement, which is to be electronically signed to initiate service:
I, as a VisProsper, member am fully aware that if I gift any possession to VisProsper Team Executor that I am gifting it to the person of the title and not to VisProsper. VisProsper is not liable for any damages or mistreatment of any gift I send and I am fully aware that the gift that I send to any employee or affiliate of VisProsper it is under my sole discretion and was not coerced by VisProsper Inc or any of VisProsper affiliates. My Gift transaction is solely between the person who hold the title of Team Executor of VisProsper and myself. And if I attain any legal action against the person of my gift, I will not involve VisProsper Inc or any of its affiliates.
I am also fully aware that in order to gift any possession to any VisProsper Inc affiliate or Team Member I am strictly required to use VisProsper “Gift Form” systematic process and If I don’t use VisProsper “Gift Form” systematic process, I will be held liable for any legal consequences concerning my actions and will I be held at fault for any action that pertains to any wrongful doing or reporting on my behalf.
By initiating a VisProsper LLC. membership account and initiating service with VisProsper I agree to receive all information related to my membership via email, text or by phone. I am aware that there is some level of risk that third parties might be able to read unencrypted emails. I further agree that I am responsible for providing the business any updates to my email address and / or mobile phone number.

However, with certain cancellations it may automatically switch your service plans: from a customized service plan to an individual service plan or individual service plan will be switched to an individual service; also, this may cancel or change promo rates that your service offered (i.e. Landing Page 15% off (up to 3 months) of Leads offer). Membership fees, taxes and credit card fees will be adjusted accordingly before refund is issued. Please view your VisProsper Service and Price Manual for service prices and plans.
Cancelling a service during a plan, members may deactivate and cancel their service at any time either prior to their expected service period commencing or 90-days subsequent to expected service period end-date when pro-ration of funds will be available. Cancelling or deactivating during service period is not permissible and non-refundable. There is a cancellation fee if plan for Primary Service (See (1) Below) when deactivated within three days of the next service plan month. (i.e., Member has purchased an individual service plan (3 months) of Landing Page Service maintenance/automation on April 9. The T.E. has completed 1 month of maintenance/automation service but the member decides to cancel before 3 days prior to the next cycled service period May 9, the 2nd. The member’s T. E. will deactivate membership and adjust the 1st month’s cost from an Individual Service Plan to an Individual Service with no penalty fee.)

Maintenance/Automation Service is considered a secondary monthly service and there is no cancellation fee. Therefore, if you cancel Maintenance/Automation Service, there is no proration and your Maintenance/Automation services will cancel at the end of the (purchased) Maintenance/Automation service month.
It is mandatory for the VisProsper member to complete and submit VisProsper Purchase Cancellation/Refund form. Once form is received by member's Team Executor before (prior to) their service period initiation date, it will take approximately 3-5 business days to process your return and approximately another 3-4 business days, subject upon bank, credit card and our 3rd party financial facility regulations, to process your return back to your bank account. Therefore, VisProsper member should continually check their bank account for their return. If VisProsper member return does not show within 8-10 business days as pending, member should call bank of transaction and follow-up with a call or message to VisProsper Inc. immediately. It is solely up to the VisProsper member to check or reassure their bank transactions.
If your services are delayed due a VisProsper affiliate (such as a Team Executor), a 90 grace period to rectify and complete services is agreed upon in

LEGAL LEAD GENERATING SERVICE
In compliance with the American Bar Association Rule 7.2 (Communications Concerning a Lawyer's Services: Specific Rules), VisProsper does not recommend attorneys (or a specified attorneys) or their services but directly provide prospective clienteles’ lead information to the Attorney (VisProsper member). Prospective clienteles (or lead information) are not considered referrals due to the nature of recommendation and minute examination (Black's Law Dictionary, 2nd Ed.) or, in other terms, recommend prospective clienteles to receive the service a particular attorney. In compliance with Bar Association Rule 1.5, which VisProsper services aim to not violate, the VisProsper member (the attorney) and their prospective client are responsible for any fees or charge transacting agreements made from one to the other, respectively.
